1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of loopdine.com (the "Site") and any waitlist signup forms hosted on it (the "Service"), operated by Loopdine ("we," "us," or "our"). By accessing the Site or submitting a waitlist form, you agree to these Terms and our Privacy Policy. If you don't agree, please don't use the Site.

2. What we provide

Right now, Loopdine is a pre-launch waitlist for an upcoming engagement-to-rewards loyalty platform for restaurants. The Site exists to:

The product itself — owner dashboards, the diner mobile app, AI verification, rewards redemption — is not yet operational. These Terms will be updated significantly before the product launches, and customers will be notified by email before any material changes take effect.

3. Eligibility

To use the Site or join the waitlist, you must be at least 18 years old (or the age of majority in your jurisdiction). If you're signing up on behalf of a restaurant, you must have authority to do so.

When you use the Site, you agree not to:

We reserve the right to remove waitlist entries, block IPs, or refuse service for any reason, with or without notice, to protect the integrity of the Service.

5. Intellectual property

The Site, including its design, text, graphics, logos, and underlying code, is owned by Loopdine and protected by United States and international copyright, trademark, and other intellectual property laws.

"Loopdine," the loop-rings mark, and the "Turn social hype into repeat visits" tagline are trademarks of Loopdine. You may not use them without our prior written permission.

You may view, share, and link to the Site for personal and non-commercial purposes. Republishing, reproducing, or creating derivative works from Site content requires our written consent.

6. Information you submit

When you submit a waitlist form, you grant Loopdine a perpetual, royalty-free, worldwide license to use the information you provided for the purposes described in our Privacy Policy — primarily, to contact you about Loopdine and to understand aggregate demand. You represent that the information you submit is accurate and that you have the right to submit it.

7. Third-party services

The Site uses third-party services including Formspree (for form processing), Vercel (for hosting), and Google Fonts (for typography). These services have their own terms and privacy policies, which we link to in our Privacy Policy. We are not responsible for the practices of these third parties.

8. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LOOPDINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising out of or related to the Site is limited to one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify and hold Loopdine harmless from any claims, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Site at any time, for any reason, with or without notice. Sections of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.

12. Changes to these terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. For material changes — especially before Loopdine launches as a paid product — we'll email you in advance if you've joined the waitlist. Your continued use of the Site after changes take effect means you accept the updated Terms.

13. Governing law & dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

If you are a consumer based in the European Union, nothing in these Terms limits any non-waivable rights you may have under your local law.

14. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Loopdine regarding the Site. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right under these Terms is not a waiver of that right.
